Description of training
Training Legal aspects in the work of a merchant is a practical programme aimed at buyers, category managers and purchasing directors who wish to deepen their knowledge of the law as it applies to purchasing processes. During the course, participants acquire specific skills related to the analysis and negotiation of key contract provisions and learn about the consequences of concessions in the most frequently negotiated areas. The training also includes preparation for contract negotiations and management of legal documents to better protect the interests of the organisation and minimise risks in relations with suppliers.
The programme is based on practical examples, analysis of real contracts and discussion with an expert, making it easy to transfer the knowledge gained directly to the daily work of the purchasing department. The training is delivered in Polish, taking into account Polish civil law, and provides participants with tools to help them act more confidently in the area of purchasing and contracts.
Key Programme Topics
Discussing all stages of the purchasing process from a legal perspective: from the analysis of needs and requirements, through the preparation and conduct of the tender, negotiations and signing of the contract, to the monitoring of implementation, termination or breaking of cooperation. Participants will learn how the law affects purchasing decisions at each stage of the process.
Identify key contractual provisions and understand the hierarchy of documents in the purchasing process. Discuss the concept of battle of forms (enrolment battles) and risks arising from ambiguous or contradictory contractual provisions.
Review of the most important documents accompanying the purchasing process (NDA, RFx, T&C, LOI, LTA, PO). Discuss their role, importance and implications of the provisions negotiated by the purchasing department.
Fundamentals of civil law in a merchant's practice: ways of contracting, model contracts, contractual penalties, complaints, damages and protection of intellectual property. Discussion of how to resolve disputes and the consequences of concessions made during negotiations.
